Meadows Club Board of Directors Meeting – December 15, 2009

 

Board Members in attendance:  Erik Boye, Ann Goldfarb, Doug Peterman, Steve Savage,

  Dave Appel, Kirk Jamison

 

Board Members absent:  Laura Barton

 

Meeting called to order by Ann Goldfarb

 

No public participation

 

November minutes were not available for amendment and approval due to Laura Barton’s absence

 

Staff Report:

 

KJ reports that the pool is leaking, and they are working on repairs as weather permits.

 

Historically, there have been a few delinquent memberships, and it is felt by KJ that after

  a significant amount of time without action by member, privileges will be revoked until the member

  brings all accounts current.  Deliquent accounts will be sent to collections, and members will be

  notified via certified mail.  In the future, KJ and Doug will alert the board to members who are

  grossly in arrears.

 

P & L reports will be made available to interested members upon request.

 

New Business:

 

Ann introduced proposed liability waiver to protect club from lawsuits from guests/members

  being injured on Club property.  There was a discussion in how to get current members to sign-up.

  The intent of the waiver may help the Club lower insurance rates and protect the Club from a

  catastrophic lawsuit.  Ann and KJ will continue to work on language and document for membership.

 

Doug stressed the need to expedite creation of non-profit status (federal) by end of 2010.  Ann will

  research bringing professional help in to work on this.

 

Doug is also working on five year projections for the Club with the model of indoor courts bringing

  higher revenues and expenses, and revenues and expenses being lower without indoor courts.

 

A motion was made to remove trees on Club property at this time due to changes in City of Boulder

  ordinances, the motion was seconded and approved.

 

Phase II:

 

Jim Bray and Richard Leddon spoke on the status of the indoor facility.  Financing is still being

  shopped around, and there are a few banks very interested in taking on the loan.  Everything

  pending appraisal and loan approval.  Jim is working on design, and John Wyatt has signed on

  for construction, once financing and plans are in place.

All Committee reports were tabled until the January, 2010 meeting.
